The exact services, deliverables, pricing, timeline, and requirements for each project will be agreed upon before production begins.
2. Using Our Website

Reworking previously approved stages
5. Client Responsibilities
To keep projects on schedule, clients are responsible for providing the information and materials required for production.
This may include:
Logo files
Brand guidelines
Product information
Screenshots or UI designs
Scripts
Reference materials
Images
Videos
Fonts
Audio
Access to required platforms or software
Feedback and approvals
The client confirms that they have the necessary rights and permissions to provide these materials to DeSpace Studio.
Delays in providing required materials, feedback, approvals, or information may affect the project timeline.
6. Scripts & Storyboards
Depending on the project, DeSpace Studio may provide scriptwriting, script editing, storyboarding, or visual planning.
Once a script or storyboard has been approved by the client, major changes may be considered additional work.
Minor corrections or reasonable adjustments may be included depending on the agreed project scope.
Changes requested after animation has already been completed may result in additional charges because previously completed work may need to be recreated.
7. Revisions
The number of included revisions will be specified in the project quotation or agreement.
A revision means a reasonable adjustment to the existing approved direction.
A revision does not mean completely changing the original concept or restarting the project.
For example, changing text, timing, colors, or small visual details may be considered a revision.
Changing the entire visual style, concept, storyboard, script, or structure after approval may be considered a new scope of work.
Additional revisions may be charged separately.
8. Project Approval
Client approval may be provided through email, messaging platforms, project management tools, or other written communication.
Once a major project stage has been approved, DeSpace Studio may proceed to the next stage.
The client is responsible for carefully reviewing materials before providing approval.
Delays in providing feedback or approval may extend the delivery date.
9. Payment
Payment terms will be communicated in the project quotation or agreement.
Depending on the project, DeSpace Studio may require:
A deposit before starting work
Milestone payments
Full payment before final delivery
Payment upon completion
Unless otherwise agreed in writing, work may not begin until the required initial payment has been received.
Final editable/source files or certain high-resolution deliverables may be provided only after the outstanding balance has been paid in full.
10. Late Payments
If a payment is overdue, DeSpace Studio may pause work until the outstanding amount is received.
Any resulting delay may affect the original delivery schedule.
For long-term or milestone-based projects, continued work may require all previous invoices to be settled before the next stage begins.
11. Cancellations
If a client cancels a project after work has started, the client may be responsible for payment for the work completed up to the cancellation date.
Payments for completed work, approved stages, purchased assets, third-party services, or non-refundable expenses may not be refundable.
If a project is cancelled before production begins, any refund will depend on the circumstances and the terms agreed in the project quotation.
12. Project Delays & Inactivity
If a project remains inactive because the client has not provided feedback, materials, approvals, or required information for an extended period, DeSpace Studio may consider the project paused.
If the project is restarted after a significant period of inactivity, the timeline, availability, pricing, or scope may need to be reviewed.
13. Delivery
Final deliverables will be provided in the formats agreed upon in the project quotation.
Typical formats may include:

H.264
ProRes
GIF
Lottie / JSON
Other agreed digital formats
Delivery times vary depending on project complexity, scope, feedback, and client responsiveness.
Any estimated delivery date is an estimate unless a specific deadline has been agreed upon in writing.
14. Source & Editable Files
Unless specifically included in the project agreement, editable/source files are not automatically included in the final delivery.
Source files may include:
After Effects project files
Illustrator files
Photoshop files
Figma files
3D project files
Animation source files
Other working files
If source files are requested, they may be provided for an additional fee depending on the project.
Third-party assets, plugins, fonts, templates, stock materials, or licensed elements may be subject to separate licensing restrictions and may not be transferable.
15. Intellectual Property
Unless otherwise agreed in writing, DeSpace Studio retains ownership of its original working methods, processes, concepts, unused designs, rejected concepts, templates, tools, reusable assets, and proprietary materials.
Upon full payment, the client receives the agreed rights to use the final approved deliverables for the purposes agreed upon for the project.
If a project requires a full transfer of intellectual property rights or exclusive ownership, this must be explicitly agreed upon in writing.
Third-party assets remain subject to their respective licenses and ownership rights.
16. Client-Supplied Materials
The client is responsible for ensuring that any materials supplied to DeSpace Studio do not infringe the rights of another person or organization.
This includes:
Logos
Images
Videos
Music
Fonts
Illustrations
Product content
Trademarks
Written content
Other copyrighted materials
The client agrees to indemnify DeSpace Studio against claims arising from unauthorized use of client-supplied materials, to the extent permitted by applicable law.
17. Third-Party Assets & Services
Some projects may use third-party resources or services such as:
Stock footage
Stock images
Music libraries
Fonts
Voice-over services
AI-based tools
Plugins
Software
Hosting or delivery platforms
Where applicable, these resources may have their own terms, licenses, restrictions, or additional costs.
DeSpace Studio is not responsible for changes, interruptions, or restrictions imposed by third-party services outside our reasonable control.
18. AI-Assisted Tools
DeSpace Studio may use AI-assisted tools as part of certain creative workflows, including for tasks such as ideation, image generation, voice generation, audio processing, or other production assistance.
The use of such tools does not change the agreed project deliverables.
Where a client requires that AI-generated or AI-assisted content not be used, the client should communicate this requirement before production begins.
19. Portfolio & Promotional Use
Unless otherwise agreed in writing, DeSpace Studio may display completed work in its:

Portfolio
Social media
Showreel
Presentations
Case studies
Marketing materials
We may also identify the client or project when publicly presenting the work.
If a project is confidential, under NDA, unreleased, or cannot be publicly displayed, the client should inform us before or during the project.
We will respect agreed confidentiality restrictions.
20. Confidentiality
DeSpace Studio will treat confidential project information shared by the client as confidential and will not intentionally disclose it to unauthorized third parties, except where disclosure is necessary to complete the project or required by law.
Clients should inform us if specific information, files, products, or project details require special confidentiality arrangements.
For projects requiring formal confidentiality obligations, a separate NDA may be agreed upon.
21. Testimonials & Reviews
If a client voluntarily provides a testimonial, review, or feedback about DeSpace Studio, we may use it for marketing and promotional purposes unless the client requests otherwise.
We will not knowingly alter the meaning of a client's testimonial in a misleading way.
22. Website Content & Portfolio Rights
All original content published on the DeSpace Studio website, including:

is owned by or licensed to DeSpace Studio unless otherwise stated.

24. Service Availability
We may decline or discontinue a project if:

The client provides misleading or fraudulent information.
The project requires services outside our capabilities.
The project presents unreasonable risks.
The client repeatedly fails to meet agreed payment or communication requirements.
We will communicate significant issues with the client where reasonably possible.

To the maximum extent permitted by applicable law, DeSpace Studio will not be liable for indirect, incidental, consequential, or unforeseeable losses arising from the use of our website or services.

For a specific project, the project quotation, proposal, statement of work, invoice, written agreement, and these Terms & Conditions may collectively form the agreement between DeSpace Studio and the client.
If there is a conflict between these website Terms and a specific written project agreement, the specific project agreement will generally take precedence for that project.
